Issuing licenses of companies (Limited Liability, Limited Partnership, Joint Liability)

​​Issuance of a license for a Limited Liability Company

  • Visit the Information Center (reception) to obtain the necessary information and the License form, or call, or check our electronic services: https://adbc.abudhabi.ae/CitizenAccess
  • Visit any Customer Service Center or branch of the Department to submit the application.
  • All required documents shall be submitted as electronic copies on a CD or Flash Memory in PDF format in order to obtain the trade name and initial approval.​

Required Documents:

  • Trade Name Registration Form duly signed.
  • Copies of valid passports.
  • Copies of Valid UAE ID Card.
  • Copies of the Family Book.​

After obtaining the trade name and the initi​​​​al approval, the following documents are required to issue the license:

  • License application Form duly signed.
  • Certificate of Trade Name
  • Certificate of Initial Approval
  • Copies of valid passports.
  • Copies of Valid UAE ID Card.
  • Copies of the Family Book.
  • A copy of the valid lease contract attested by the Municipality.
  • A copy of the signatures authentication duly attested by the Notary Public.
  • An approved photo or photocopy of the trade name sign board, which carries the calligrapher's signature, seal and board measurements.
  • No objection letter from the competent authorities in case that the activity may not be practiced except with an authorization from the competent authorities.
  • A Copy of the Articles of Association attested by the Notary Public.
  • Contract publishing in the Ministry of Economy.
  • A copy of the Department of Naturalization and Residency approval for foreigner investors.

Conditions:​

  • The Department of Naturalization and Residence's approval for foreign investors shall be obtained after the issuance of the trade name and before the issuance of the initial approval.
  • All required documents shall be in Arabic language.
  • Documents in foreign languages must be translated into Arabic by a legal translator and duly certified (certification by the Ministry of Foreign Affairs and Embassies, for companies incorporated abroad).​
  • The License Application Form shall be submitted by the concerned persons or by a legally authorized representative.​
  • The concerned persons must be at least 21 years of age.
  • All required documents shall be attached as electronic copies in PDF format. Originals shall be presented for verification.

Description of a Limited Liability Company

  • The number of partners shall not exceed fifty persons, and shall not be less than two persons.
  • The number of managers shall not exceed 5 and there must be one manager at least.
  • The Memorandum of Association of the company shall include the following data:
    • The Name of the company, purpose and main office.
    • Names of partners, their nationalities, places of residence and addresses.
  • The total capital of the company, the shares of each partner, details of the value of shares in kind and cash, and name of shareholders.
  • Names and nationalities of company managers, names and nationalities of members of the Board of Directors, names and nationalities of members of the Supervisory Board,  if laws require the formation of such a board.
  • The starting date of the company and its duration.
  • How profit and losses will be distributed.
  • The notification system for correspondence addressed to partners.
  • The Ministry may set a model for the Memorandum of Association, which includes the mentioned data and any other data it deems required.
  • The manger of the company or his representative may apply for registration in the Commercial Register in the Ministry of Economy.
  • The shares of UAE citizen partners (natural or legal persons) in the capital of the company shall not be less than 51% of total shares.​

Issuance of a license for a Commandite Company

  • Visit the Information Center (reception) to obtain the necessary information and the License form, or call, or check our electronic services: https://adbc.abudhabi.ae/CitizenAccess
  • Visit any Customer Service Center or branch of the Department to submit the application.
  • All required documents shall be submitted as electronic copies on a CD or Flash Memory in PDF format in order to obtain the trade name and initial approval.​

Required Documents:

  • Trade Name Registration Form duly signed.
  • Copies of valid passports.
  • Copies of Valid UAE ID Card.
  • Copies of the Family Book.​

Description of a Commandite Company

  • The Commandite Company consists of two or more partners.
  • All partners in a commandite company must be UAE citizens.
  • The number of managers shall not exceed 5 and there must be one manager at least.​
  • The Memorandum of Association of the commandite company shall include the following data:
    • ​Name and title of each partner, his fame name, nationality, date of birth, place of residence, value of shares and paid part thereof.
    • The Name of the company and purpose.
    • The headquarters of the company and the location of its branches.
  • The total capital of the company, the shares of each partner, details of the value of shares in kind and cash, and name of shareholders. 
  • The starting date of the company and its duration.
  • How the company will be managed, names of authorized signatories and the extent of their powers.
  • Beginning and end of financial year.
  • How profit and losses will be distributed.

Issuance of a license for a General Partnership Company

  • The Memorandum of Association of the General Partnership company shall include the following data:

    • The Name of the company and purpose.
    • ​The headquarters of the company and the location of its branches.
  • The total capital of the company, the shares of each partner, details of the value of shares in kind and cash, and name of shareholders. 
  • The starting date of the company and its duration.
  • How the company will be managed, names of authorized signatories and the extent of their powers.

  • All required documents shall be submitted as electronic copies on a CD or Flash Memory in PDF format in order to obtain the trade name and initial approval.​

Required Documents:

  • Commercial License Form
  • Certificate of Trade Name
  • Certificate of Initial Approval
  • Copies of valid passports for concerned persons
  • Copies of Valid UAE ID Cards for concerned persons.
  • Copies of the Family Book for UAE Citizens
  • A copy of the valid lease contract attested by the Municipality.
  • A copy of the signatures authentication duly attested by the Notary Public.
  • An approved photo or photocopy of the trade name sign board, which carries the calligrapher's signature, seal and board measurements.
  • A Copy of the Articles of Association
  • A copy of the certified signature of the representative of the cooperative society 

Conditions:

  • Obtaining the approval of the Ministry of Social Affairs to establish the cooperative society, after the approval of the trade name and prior to the issuance of the Initial approval.
  • All partners in Cooperative Societies shall be UAE citizens.
  • All documents shall be in Arabic. Documents.
  • The License Application Form shall be submitted by the concerned partners or by a legally authorized representative.
  • The concerned persons must be at least 21 years of age.
  • All required documents shall be attached as electronic copies in PDF format. Originals shall be presented for verification.

Electronic Documents Conditions:

All the required documents shall be attached in a CD or a Flash Memory as follows:

  • The documents shall be in PDF format.
  • The copy shall be clear, neither dark nor bright.
  • The documents shall be labeled (Lease Agreement, Partnership Agreement…).
  • The average size of documents is 70 Kbytes.​​
