Amendment of Commercial License

​Amendment of Commercial License:

  • Visit the Information Center (reception) to obtain the necessary information and the amendment of Commercial License form, or call, or check our electronic services: https://adbc.abudhabi.ae/CitizenAccess
  • After obtaining all the required documents, visit any Customer Service Center or branch of the Department to submit the application.
  • All required documents shall be submitted as electronic copies in PDF format. Originals shall be presented for verification.

Types of Amendment:

There are many types of procedures for the Amendment of Commercial Licenses:

  1. Transfer & Sale
  2. Adding a new partner / withdrawal of a partner.
  3. Change of address / Location
  4. Adding a new activity / cancelling an activity.
  5. Amendment of the capital.
  6. Amendment of the Partners' percentage.
  7. Amendment of the trade name.
  8. Amendment of the Service Agent.
  9. Amendment of Heirs.
  10. Amendment of the License data.
  11. Amendment of the legal form.​

Transfer & Sale of an establishment

Required Documents:

  • Amendment of Commercial License Form.
  • Commercial License Certificate
  • Copies of valid passports of concerned persons.
  • Copies of the Family Book of UAE citizens.
  • Copies of Valid UAE ID Card of concerned persons.
  • A copy of the signatures authentication duly attested by the Notary Public.
  • A copy of the Department of Naturalization and Residence approval for foreign investors.
  • A copy of the initial transfer/sale contract attested by the Notary Public.
  • Copy of the new service agent contract if the new buyer is a foreign investor.
  • No objection letter from the competent authorities in case that the activity may not be practiced except with an authorization from the competent authorities. (Original).​

Adding a new partner / withdrawal of a partner

Required Documents:​

  • Amendment of Commercial License Form.
  • Commercial License Certificate
  • Copies of valid passports of concerned persons.
  • Copies of the Family Book of UAE citizens.
  • Copies of Valid UAE ID Card of concerned persons.
  • A copy of the signatures authentication duly attested by the Notary Public.
  • A copy of the Department of Naturalization and Residence approval for foreign investors.
  • A copy of the newspaper announcement.
  • A copy of the partnership contract annex showing the entry of withdrawal of a partner
  • No objection letter from the competent authorities in case that the activity may not be practiced except with an authorization from the competent authorities. (Original).

Change of Address

Required Documents:

  • Amendment of Commercial License Form.
  • Commercial License Certificate
  • Copies of valid passports of concerned persons.
  • Copies of the Family Book of UAE citizens.
  • Copies of Valid UAE ID Card of concerned persons.
  • A copy of the valid lease contract.
  • An approved photo or photocopy of the trade name sign board, which carries the calligrapher's signature, seal and board measurements.
  • A copy of the signatures authentication duly attested by the Notary Public.
  • No objection letter from the competent authorities in case that the activity may not be practiced except with an authorization from the competent authorities. (Original).​

Adding a new activity / Cancelling an activity

Required Documents:​

  • Amendment of Commercial License Form.
  • Commercial License Certificate
  • Copies of valid passports of concerned persons.
  • Copies of the Family Book of UAE citizens.
  • Copies of Valid UAE ID Card of concerned persons.
  • A copy of the signatures authentication duly attested by the Notary Public.
  • Letter of approval of the Ministry of Economy  for  companies and branches of foreign companies (Original)
  • No objection letter from the competent authorities in case that the activity may not be practiced except with an authorization from the competent authorities. (Original).​

Amendment of Capital

Required Documents:​

  • Amendment of Commercial License Form.
  • Commercial License Certificate
  • Copies of valid passports of concerned persons.
  • Copies of the Family Book of UAE citizens.
  • Copies of Valid UAE ID Card of concerned persons.
  • A copy of the signatures authentication duly attested by the Notary Public.
  • A copy of the newspaper announcement, in case of increasing the capital.
  • Letter of approval of the Ministry of Economy for increasing the capital of public joint-stock companies. (Original)
  • A copy of the initially signed partnership contract annex, stating the increasing or reducing of capital.
  • No objection letter from the competent authorities in case that the activity may not be practiced except with an authorization from the competent authorities. ​

Amendment of the Partners' percentage

Required Documents:

  • Amendment of Commercial License Form.
  • Commercial License Certificate
  • Copies of valid passports of concerned persons.
  • Copies of the Family Book of UAE citizens.
  • Copies of Valid UAE ID Card of concerned persons.
  • A copy of the signatures authentication duly attested by the Notary Public.
  • A copy of the newspaper announcement.
  • A copy of the initially signed partnership contract annex, stating the amendment of the partners' percentage.​

Amendment of the Trade Name

Required Documents:

  • Amendment of Commercial License Form.
  • Commercial License Certificate
  • Certificate of New Trade Name
  • Copies of valid passports of concerned persons.
  • Copies of the Family Book of UAE citizens.
  • Copies of Valid UAE ID Card of concerned persons.
  • A copy of the signatures authentication duly attested by the Notary Public.
  • A copy of the initially signed partnership contract annex (For companies)
  • A copy of the newspaper announcement.
  • A copy of the service agent contract cancellation, if the establishment is owned by a foreign investor.
  • A copy of the service agent contract attested by the Notary Public if the establishment with the new trade name is owned by a foreign investor.
  • the partnership contract annex attested by the Notary Public (for Companies)
  • An approved photo or photocopy of the trade name sign board, which carries the calligrapher's signature, seal and board measurements.
  • A certificate from the mother company stating that the trade name had been changed (for foreign companies)
  • A letter of approval of the Ministry of Economy for companies and branches of foreign companies to change trade names (Original).
  • No objection letter from the competent authorities in case that the activity may not be practiced except with an authorization from the competent authorities. ​

Replacement of the Local Service Agent of the Establishment

Required Documents:

  • Amendment of Commercial License Form.
  • Commercial License Certificate
  • Copies of valid passports of concerned persons.
  • Copies of the Family Book of UAE citizens.
  • Copies of Valid UAE ID Card of concerned persons.
  • A copy of the previous service agent contract cancellation attested by the notary public.
  • A copy of the new service agent contract attested by the Notary Public.
  • No objection letter from the competent authorities in case that the activity may not be practiced except with an authorization from the competent authorities. ​

Replacement of the Local Service Agent of a branch of a Foreign Company

Required Documents:

  • Amendment of Commercial License Form.
  • Commercial License Certificate
  • Copies of valid passports of concerned persons.
  • Copies of the Family Book of UAE citizens.
  • Copies of Valid UAE ID Card of concerned persons.
  • A copy of the previous service agent contract cancellation attested by the notary public.
  • A copy of the new service agent contract attested by the Notary Public.
  • Ministry of Economy Approval
  • A copy of the signatures authentication duly attested by the Notary Public.
  • No objection letter from the competent authorities in case that the activity may not be practiced except with an authorization from the competent authorities.

Replacement of Heirs

Required Documents:​

  • Amendment of Commercial License Form.
  • Commercial License Certificate
  • Copies of valid passports of concerned persons.
  • Copies of the Family Book of UAE citizens.
  • Copies of Valid UAE ID Card of concerned persons.
  • A copy of a valid lease contract.
  • A copy of the signatures authentication duly attested by the Notary Public.
  • A Legal Notification of Inheritance issued by court for the heirs.
  • Power of Attorney issued by the heirs to their representative, duly attested by the Notary Public.
  • No objection letter from the competent authorities in case that the activity may not be practiced except with an authorization from the competent authorities. ​

 Terms and Conditions:

  • The Application Form shall be submitted by the concerned person or by a legally authorized representative.
  • Amendments to the business license should not be done before the elapse of one week from the date of publishing of the notice in newspaper.
  • Terms and conditions apply.​

Amendment of License Data

Adding a manager:

  • A copy of the initially signed partnership contract annex stating the addition of a new manager, in addition to the Ministry of Economy Approval.
  • Amendment of the Type of license: It depends on the nature of the activity (commercial – trade -  professional – agricultural)​

Amendment of Legal Form

The amendment of legal form of an existing facility required other procedures related to the legal form as the amendment of the trade name, amendment of capital and amendment in transfer and sale.

  • A Company to Establishment (a Limited Liability Company to an individual establishment)
  • An Establishment to a Company (An establishment to a Limited Liability Company)
  • A Company to a Company (A limited Liability Company to a joint company)

Electronic Documents Conditions:

All the required documents shall be attached in a CD or a Flash Memory as follows:

  • The documents shall be in PDF format.
  • The copy shall be clear, neither dark nor bright.
  • The documents shall be labeled (Lease Agreement, Partnership Agreement…).
  • The average size of documents is 70 Kbytes.
